Terms of Service

The terms governing the use of Quantor AI's website and services. Current as of today.

1. Acceptance of the Terms

Accessing and using the website quantor-ai.com (the "Site") and the services offered by Quantor AI implies full and unconditional acceptance of these Terms of Service. If you do not accept these terms, please do not use our services.

3. Services Offered

Quantor AI provides the following services:

  • Design and development of AI agents (chat and voice) and custom automations
  • Custom AI software development and integration with your existing systems
  • AI Audit & Discovery: process analysis and identification of the highest-return use cases
  • Team coaching and training on the use of the implemented solutions
  • AOS (Company Brain): the system that connects tools and departments into one base you can query with AI
  • Agent management: ongoing management and maintenance of the agents after break-even is reached, as a separate paid service (see §7)

4. Payment Terms

For custom software development projects and AI automation solutions:

  • The standard structure is a 50% deposit of the total project value on order confirmation, with the remaining 50% due before final delivery.
  • At the client's request, payment can be split into multiple installments tied to project milestones agreed on together.
  • Payments can be made by bank transfer.
  • Invoices are issued in accordance with applicable Italian regulations.
  • In the event of non-payment, Quantor AI reserves the right to suspend the provision of services.

5. Intellectual Property

All content on the Site (text, images, logos, graphics, video) is the exclusive property of Quantor AI and is protected by copyright law.

Regarding the custom software solutions developed for clients:

  • The source code and intellectual property rights to the custom software developed become the exclusive property of the client only after full settlement of the final invoice.
  • Until full payment, all rights remain the property of Quantor AI.
  • The client receives a complete, perpetual license to use the software after full payment.
  • Third-party software components or open-source libraries retain their respective original licenses.

6. Refund Policy

Refunds are governed as follows:

  • A full refund may be requested within 14 days of the order date, provided the service has not yet been started or delivered.
  • No refunds are available for services already delivered or projects already started.
  • Refund requests must be sent by email to info@quantor-ai.com.
  • Approved refunds will be processed within 30 business days.

7. Warranty and Liability

Quantor AI warrants the correct, deterministic functioning of the flows and agents it develops, according to the specifications agreed in the contract. If a solution does not work as agreed, we commit to correcting it within a reasonable time.

Within each project, coaching, go-live and the correction of any malfunctions are included, up to the break-even milestone agreed on with the client.

Once break-even is reached, if the system is working correctly, the ongoing management and maintenance of the agents (agent management) is a separate service, subject to a dedicated commercial agreement.

Scope of liability and AI-related limits:

  • Quantor AI does not train the underlying AI models (LLMs and third-party models) and is not liable for the correctness, accuracy or completeness of the content and information those models generate, including wrong or inaccurate answers.
  • Quantor AI's responsibility covers the flows built with AI, that is, the agents, their correct functioning and the deterministic way they operate: logic, integrations and process orchestration as agreed.
  • Quantor AI does not guarantee specific business results (e.g. revenue increase or customer growth), which depend on factors outside the software.
  • Quantor AI will not be liable for indirect damages arising from factors external to the functioning of the software (e.g. lost opportunities, reputational harm).
  • Quantor AI's maximum liability for direct damages is limited to the total amount paid by the client for the specific project.
  • The client is responsible for compliance with the regulations applicable in their own sector.

8. Data, Privacy and Artificial Intelligence

In projects where Quantor AI processes data on behalf of the client, the client remains the data controller and Quantor AI acts as data processor under Article 28 of the GDPR, on the basis of a Data Processing Agreement (DPA) signed between the parties.

Infrastructure and data storage:

  • Project data is hosted on Supabase, with whom Quantor AI has a Data Processing Agreement (DPA) in place.
  • The server region is the client's choice: European Union or United States.
  • Access to the data is limited to the Quantor AI people required to deliver the service.

How the AI models handle the data:

  • Client data is sent to the models solely to generate the requested output (inference), within the agreed workflow.
  • Quantor AI routes requests exclusively to providers whose contractual terms rule out the use of data to train their models (currently the Anthropic and OpenAI APIs).
  • Quantor AI does not train models on client data and does not use it for its own purposes.
  • Client data is not disclosed to third parties beyond the providers required to deliver the service. On request, Quantor AI provides the client with the current list of those providers.

Transparency on the use of AI: Quantor AI designs its systems so that it is recognizable when the counterpart is an AI agent, and builds in human oversight (human-in-the-loop) wherever a decision carries material impact.

9. Changes to the Terms

Quantor AI reserves the right to modify these Terms of Service at any time. Changes will be published on this page with the relevant update date. Continued use of the services after changes are published constitutes acceptance of the new terms.

10. Governing Law and Jurisdiction

These Terms of Service are governed by Italian law. For any dispute relating to the interpretation, performance or termination of these terms, the Court of Salerno, Italy, shall have exclusive jurisdiction.
